Electronic Theatre Controls France SAS
Except as provided below, these Terms & Conditions (hereinafter “T&Cs”) apply to orders from https://shop.etcconnect.fr operated by Electronic Theatre Controls France SAS, Zone Urbaparc — Bâtiment E, 6 Boulevard de la Libération, Saint-Denis, 93200 France (tel.: +33 1 4243 3535, email: Shop.fr@etcconnect.com).
English is the only contractual language offered by this website. The French language version of these terms is offered only as a courtesy to our customers.
Unless expressly stated otherwise in the Terms below, these T&Cs do not apply to orders for products listed in the “Factory Clearance Goods” section of our online shop (hereinafter “Factory Clearance Goods”). Those orders are governed by the Terms and Conditions referenced in the related purchase order.
For the avoidance of doubt, these T&C shall not apply for the sale of goods by Electronic Theatre Controls, Inc, 3031 Pleasant View Rd, Middleton, WI 53562-0979, U.S.A. through https://shop.etcconnect.com.
1. Contract
1.1The display of our any goods (“Products”) in our online shop is an invitation to submit and order only and does not constitute a legally binding offer.
1.2A contract for the sale of our Products will be concluded when (i) you follow the ordering process on the website for our online shop and confirm your order by activating the button on the website at the conclusion of that process, and (ii):
1.2.1we explicitly accept your order by sending you an email in which we state our acceptance; or
1.2.2we ship the ordered Products (or the first Product from your order); or
1.2.3your credit card is charged with the agreed amount.
1.3In addition, when you place your order we will confirm receipt of your order by email. For the avoidance of doubt, this initial confirmation does not constitute acceptance of your order unless explicitly stated in the email.
1.4We will also provide you with a copy of all contractual documents, including a copy of your order as well as a link to these Terms via email, which can be permanently saved by you. We will not additionally save the contractual documents for you.
1.5Products may vary slightly from their pictures. The images of the Products on the online shop are for illustrative purposes only.
2. Prices, Taxes
2.1For all Products the prices shown in our online shop include the applicable tax. You will always be shown the final price including all applicable taxes on the last page before you place your order by pressing the button on the website at the conclusion of the ordering process.
3. Withdrawal
3.1If you are a consumer, you may have the right to withdraw from the contract without giving any reason, as granted under applicable local law. The withdrawal period shall toll from your (or a third party other than the carrier and indicated by you acquires) physical possession of the good.
3.2To exercise the right of withdrawal, you must inform us (at the contact information above) of your decision to withdraw from this contract in unequivocal terms.
3.3Effect of Withdrawal.
3.3.1If you withdraw from this contract, we shall reimburse to you all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from the contract. However, we may withhold reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods, whichever is the earliest.
3.3.2You shall send back the Products or hand them over to us without undue delay and in any event not later than 14 days from the day on which you communicate your withdrawal from this contract to us. The deadline is met if you send back the goods before the period of 14 days has expired. You shall bear the cost of returning the Products. You are liable for any diminished value of the Products from your handling.
4. Delivery Terms
4.1We will ship the Products to you within France. Unfortunately, we cannot offer you the opportunity to pick up the goods at our facility.
4.2If you order multiple Products, we may split your order into multiple deliveries at our convenience. In this case, you will not be charged additional delivery costs.
4.3In case that shipments are returned due to negligent or willful act of yours, in particular if you negligently or deliberately provide us with an incorrect address or if you negligently or deliberately fail to pick up the parcel(s) from your local post office or carrier’s depot despite having been properly notified, you will be required to pay any additional delivery costs incurred.
4.4Shipping. Costs for shipping shall be as displayed during checkout.
5. Payment Methods
5.1Credit Card. You can pay via VISA or Mastercard. Your credit card will be charged at the end of the ordering process. In addition to the payments terms stated in the Standard Terms and Conditions for Factory Clearance Goods, you have the option to pay with a credit card under this section.
5.2PayPal. Your PayPal account will be charged at the end of the ordering process. In order to pay via PayPal, you will need to open an account with the online payment provider PayPal, as required in your jurisdiction. In addition to the payments terms stated in the Standard Terms and Conditions for Factory Clearance Goods, you have the option to pay with PayPal under this section.
6. Warranty
6.1If a Product is defective (or if we deliver the wrong Product), you may be entitled to statutory rights by local laws.
6.2In addition to the statutory rights you have, we also provide the warranty located at https://www.etcconnect.com/WorkArea/DownloadAsset.aspx?id=10737500156. If there is any conflict between these Terms and that warranty, then these Terms shall prevail, except with respect to any Factory Clearance Products, in which case that warranty shall prevail.
6.3The warranty period for all Factory Clearance Products shall be 90 days from the date of delivery.
6.4Statutory warranty.
Le consommateur dispose d'un délai de deux ans à compter de la délivrance du bien pour obtenir la mise en œuvre de la garantie légale de conformité en cas d'apparition d'un défaut de conformité.
Durant ce délai, le consommateur n'est tenu d'établir que l'existence du défaut de conformité et non la date d'apparition de celui-ci.
Lorsque le contrat de vente du bien prévoit la fourniture d'un contenu numérique ou d'un service numérique de manière continue pendant une durée supérieure à deux ans, la garantie légale est applicable à ce contenu numérique ou service numérique tout au long de la période de fourniture prévue.
La garantie légale de conformité emporte obligation pour le professionnel, le cas échéant, de fournir toutes les mises à jour nécessaires au maintien de la conformité du bien.
La garantie légale de conformité donne au consommateur droit à la réparation ou au remplacement du bien dans un délai de trente jours suivant sa demande, sans frais et sans inconvénient majeur pour lui.
Si le bien est réparé dans le cadre de la garantie légale de conformité, le consommateur bénéficie d'une extension de six mois de la garantie initiale.
Si le consommateur demande la réparation du bien, mais que le vendeur impose le remplacement, la garantie légale de conformité est renouvelée pour une période de deux ans à compter de la date de remplacement du bien.
Le consommateur peut obtenir une réduction du prix en conservant le bien ou mettre fin au contrat en se faisant rembourser intégralement contre restitution du bien, si :
– Le professionnel refuse de réparer ou de remplacer le bien ;
– La réparation ou le remplacement du bien intervient après un délai de trente jours ;
– La réparation ou le remplacement du bien occasionne un inconvénient majeur pour le consommateur, notamment lorsque celui‑ci supporte définitivement les frais de reprise ou d'enlèvement du bien non conforme, ou s'il supporte les frais d'installation du bien réparé ou de remplacement ;
– La non‑conformité du bien persiste en dépit de la tentative de mise en conformité du vendeur restée infructueuse.
Le consommateur a également droit à une réduction du prix du bien ou à la résolution du contrat lorsque le défaut de conformité est si grave qu'il justifie que la réduction du prix ou la résolution du contrat soit immédiate.
Le consommateur n'est alors pas tenu de demander la réparation ou le remplacement du bien au préalable.
Le consommateur n'a pas droit à la résolution de la vente si le défaut de conformité est mineur.
Toute période d'immobilisation du bien en vue de sa réparation ou de son remplacement suspend la garantie qui restait à courir jusqu'à la délivrance du bien remis en état.
Les droits mentionnés ci‑dessus résultent de l'application des articles L.217‑1 à L.217‑32 du Code de la consommation.
Le consommateur bénéficie également de la garantie légale des vices cachés en application des articles 1641 à 1649 du Code civil, pendant une durée de deux ans à compter de la découverte du défaut.
Dans ce cas, le consommateur peut choisir entre la résolution de la vente ou une réduction du prix conformément à l'article 1644 du Code civil.
7. Retention of Title
We shall retain title to the Products until we have received full payment from you.
8. Liability
8.1Nothing in these Terms shall limit or exclude our liability to you for matters where it would be unlawful to do so. This includes death or personal injury caused by our negligence or fraudulent misrepresentation or any other liability that may not, under French law, be limited or excluded.
8.2If we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms and shall not exceed the total price charged for the Products.
8.3If any of the Products you ordered are out of stock or we are unable to supply for any other reason, we will not be liable to you except that we will not charge you for that Product.
8.4We are not liable for business losses, loss of profits or business interruption under these Terms.
9. How We May Use Your Personal Information
9.1We will only use your personal information as set out in our Privacy Policy, located at https://shop.etcconnect.fr/terms-conditions/privacy/ and will at all times comply with applicable data protection laws within France.
10. Transfer of This Agreement
10.1We may at any time transfer our rights and obligations under these Terms to another organization.
10.2You may not transfer your rights and obligations under these Terms, in whole or in part, without our prior written consent.
11. Choice of Law
11.1These Terms are governed by French law and you can bring legal proceedings in respect of the Products in the French courts. Should you wish to engage in mediation to resolve a dispute, you may find information about doing so from the CECMC.
12. No Waiver
12.1Even if we delay in enforcing this contract, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these Terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date. For example, if you miss a payment and we continue to provide the Products, we can still require you to make the payment at a later date.
13. General
13.1Except as expressly stated otherwise above, these Terms govern the supply of Products by us to you. Any other terms, conditions or representations (other than those implied by statute) are excluded.
13.2We reserve the right to amend these Terms at any time.
